These Terms & Conditions ("Terms") govern your access to and use of the Basar Commercial Asset Advisors website located at BasarCRE.com (the "Site"), and any advisory engagement, feasibility study, consultation, or other service (collectively, the "Services") provided by Basar Commercial Asset Advisors ("Basar," "we," "us," or "our"). By accessing the Site, submitting an inquiry, or engaging our Services, you ("you," "client," or "user") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or engage our Services.
These Terms apply in addition to any separate engagement letter, statement of work, or service agreement you sign with us. Where a conflict exists between these Terms and a signed engagement agreement, the signed agreement controls with respect to that engagement.
All content, frameworks, tools, and guidance provided by Basar Commercial Asset Advisors — whether on the Site, in a feasibility study, in a consultation, or in any written or verbal communication — are provided for educational and informational purposes only. Nothing we provide constitutes investment advice, legal advice, financial advice, tax advice, or a recommendation to buy, sell, hold, finance, develop, or otherwise transact in any property, security, or investment.
Commercial real estate decisions involve significant capital, risk, and complexity. You should consult qualified, independent professionals — including attorneys, accountants, licensed financial advisors, and licensed real estate brokers — before making any investment, financing, development, or transaction decision. Nothing in our Services is a substitute for that independent professional judgment.
Basar Commercial Asset Advisors makes no guarantees, warranties, or representations — express or implied — regarding outcomes, returns, performance, or results of any kind. Projections, pro forma models, IRR estimates, cap rate assumptions, and similar analyses are illustrative and based on assumptions that may not reflect actual future performance.
Past performance, case studies, testimonials, and market examples referenced on the Site or in our materials do not predict future results. Commercial real estate involves risk of loss, including total loss of capital, and every investment or development decision should be evaluated independently by you and your advisors.
No brokerage services. Basar Commercial Asset Advisors does not provide brokerage, transaction execution, or representation services. We provide educational frameworks and strategic guidance only, and we are not a licensed real estate broker or brokerage in any jurisdiction unless separately and expressly disclosed to you in writing.
No solicitation. Nothing on the Site or in our communications constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment, or transaction.
Independent decisions. All commercial real estate decisions, including acquisition, financing, development, renovation, and disposition, remain the sole responsibility of the property owner, investor, or other stakeholder engaging us.
Advisory only. Feasibility studies and development advisory services constitute analytical guidance. We do not pool investor funds, manage investor capital, act as a fiduciary, or execute transactions on behalf of clients.
Feasibility and development advisory engagements are typically scoped individually, with fees generally ranging from $10,000 to $70,000 or more depending on asset class, complexity, entitlement status, and capital structure requirements. Package plans referenced on the Site (including the Essential Analysis Package, Growth & Optimization Package, Full-Service Advisory Package, Custom Solutions, and Asset Management Package + Legal Services) are illustrative starting points; actual scope, deliverables, timeline, and fees are confirmed in a written proposal or engagement letter prior to commencement of work.
Unless otherwise agreed in writing, fees are non-contingent on any particular outcome (such as loan approval, deal closing, or investment performance), payable according to the schedule set out in your engagement letter, and non-refundable once work has commenced except as otherwise stated in that engagement letter.
All content on the Site — including text, frameworks, graphics, logos, and design elements — is owned by or licensed to Basar Commercial Asset Advisors and is protected by applicable intellectual property laws. You may view and download material from the Site for personal, non-commercial reference only. You may not reproduce, distribute, publicly display, or create derivative works from Site content, or from any feasibility study or deliverable we provide, without our prior written consent, except as needed to present that deliverable internally or to your lenders, partners, or professional advisors for the purpose for which it was prepared.
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to the Site, our systems, or related networks; (c) interfere with or disrupt the Site's operation; (d) scrape, harvest, or systematically extract data from the Site without our written consent; or (e) submit false, misleading, or fraudulent information through any form on the Site.
The Site or our Services may reference or refer you to third parties, including participating legal counsel, lenders, or other professionals. We do not control and are not responsible for the content, accuracy, availability, or practices of third-party websites or service providers. Any dealings you have with a referred third party are solely between you and that party, and any complimentary legal membership support package referenced in our Asset Management offerings is provided directly by participating counsel under their own separate terms.
To the fullest extent permitted by applicable law, Basar Commercial Asset Advisors, its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site or our Services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to a specific engagement will not exceed the total fees paid by you to us for that specific engagement in the twelve (12) months preceding the claim. Nothing in these Terms is intended to limit liability that cannot be limited under applicable law.
You agree to indemnify and hold harmless Basar Commercial Asset Advisors and its owners, officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your breach of these Terms, or any decision you make based on our Services, except to the extent caused by our gross negligence or willful misconduct.
We treat information you share with us in connection with an engagement as confidential and use it only to provide the Services and, where applicable, as required by law. We may reference general, non-identifying details of an engagement (such as asset class or region) for marketing purposes unless you request otherwise in writing. These Terms are governed by the laws of the state in which Basar Commercial Asset Advisors is principally organized, without regard to conflict-of-law principles, unless a separate engagement letter specifies otherwise. Any dispute arising out of or relating to these Terms or our Services will first be addressed through good-faith negotiation between the parties, and, where required by a signed engagement agreement, through the dispute resolution process specified in that agreement.
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
